1. Call to Order
   The meeting was called to order at 9:07 am by Director Denny Churchill.

      Staff Present: Katie Nunn, General Manager

      
      
2. Public Comments

   None.

3. Approval of Minutes Vice-President Mike Beatty motioned to approve. Director Ruth Jackson seconded the motion.
   
   The motion passed with the following vote:

4. Board of Directors

   1. Fire Fuel Reduction Project information from Bill Jacks.

      Mr. Jacks explained the burning project that will be done.

   2. Review and/or approve quote from Feather River Solar Electric for upgrades to the Church Street Lift Station Solar.

      This item was tabled.

   3. Review and/or approve new rates from Waste Management for 2025.

      Vice-President Mike Beatty motioned to approve. President Bill Martin seconded the motion.
      
      The motion passed with the following vote:

   4. Review and/or approve request to allow Carollo Engineers to claim the tax deduction for the work on the WWTP buildings.

   5. Discuss Special Vacancy Notice.

5. General Managers Report

   1. Solar Project Update. Review and/or approve proposal from P2S.

      President Bill Martin motioned to approve. Vice-President Mike Beatty seconded the motion.
      
      The motion passed with the following vote:

   2. Water Meter Replacement Project update.

      Staff is continuing to move forward with the meter replacements. There are two routes now on the drive-by system.

   3. Review and/or approve bills for November.

      Vice-President Mike Beatty motioned to approve. Director Ruth Jackson seconded the motion.

6. Closed Session

   1. CONFERENCE WITH LEGAL COUNSEL—ANTICIPATED LITIGATION

      Significant exposure to litigation pursuant to paragraph (2) of subdivision (d) of Section 54956.9: 1 case 

      Vice-President Beatty moved to approve the settlement. President Martin seconded and the motion carried unanimously.
